    Overview: SmartLanding (a service of E50Ads LLC) provides a done-for-you landing page solution – including design, hosting, domain setup, and integration of third-party services – as described below. By using SmartLanding.tech, you agree to these Terms and Conditions ("Terms"). These Terms govern all services provided to you; no separate or handwritten contracts apply.

    Services and Scope

    SmartLanding is not a DIY website builder. Instead, we create and deliver a custom landing page for your business. Our service includes hosting the landing page, configuring your domain, and integrating specified third-party tools (analytics, payment, chat, etc.). We may also provide optional AI features (such as an AI Sales Agent, AI Sales Manager, or AI Support Manager) at your request. You remain responsible for providing any content (text, images, logos) and for obtaining rights to use any materials you supply. We are not responsible for the content of your landing page beyond the scope of technical implementation.

    Payments, Fees, and Billing

    • Setup Fee: You agree to pay a one-time setup fee for the creation of your landing page. This covers design, development, and initial integrations. All setup fees are non-refundable once work begins.
    • Subscription Fees: Ongoing fees apply for hosting, domain registration/renewal (if managed by us), maintenance, and any recurring features (e.g. AI modules, premium integrations). Subscription fees are billed monthly or annually in advance, as selected at purchase. You are responsible for timely payment of all fees.
    • Payment Processing: Payments are processed by third-party payment providers (Stripe, Square, and/or PayPal). SmartLanding does not store or handle your raw payment details. All credit/debit card and bank information is transmitted securely to and stored only by the payment provider. For example, Stripe confirms that credit card data is sent directly to their system and only their system stores that information. We will never request your full card details via email or any insecure channel.
    • Refund Policy: All fees are non-refundable except as required by law or as set forth below. If SmartLanding fails to deliver your landing page as agreed (and you request a refund in writing), we may offer a partial refund of amounts paid, less any unavoidable fees charged by banks or payment processors. We do not refund subscription periods already used or outside any statutory cancellation window.

    Accounts and Registration

    Currently, SmartLanding requires no user accounts or logins to purchase or use our services. We interact with you via email and other direct communication. In the future, if we introduce user accounts or dashboards, we will notify you of any new registration requirements by updating these Terms and Conditions or our Privacy Policy. It is your responsibility to provide accurate contact information for billing and service delivery. We may send you updates and notifications related to your service by email.

    Third-Party Services and Integrations

    SmartLanding relies on various third-party providers for payments, analytics, marketing, and optional integrations. You acknowledge and agree that:

    • Payment Processors: Stripe, Square, and PayPal handle all transactions. See their respective policies for how your payment data is protected. We encourage you to review Stripe's, Square's, and PayPal's terms and privacy notices for details.
    • Analytics and Marketing: We use Google Tag Manager and Meta (Facebook) Pixel for analytics and ad conversion tracking. The Google Tag Manager itself does not create user profiles or store cookies; it simply manages tags on our website. Meta Pixel may collect data for ad targeting. We do not use any analytics cookies beyond these essential tools. You may disable cookies in your browser, but certain features (like analytics) may not function.
    • AI and Other Tools: Optional AI features (e.g. SmartLanding's AI Sales/Support Agent) rely on services like OpenAI. Your use of AI features is governed by OpenAI's terms and policies. We do not control or guarantee any AI outputs, and you agree that AI-powered suggestions are provided "as is."
    • Optional Integrations: You may choose to integrate additional services (e.g. TikTok Pixel, Facebook Business API, Google Calendar, etc.). These integrations, when enabled, will involve the transfer of certain data (e.g. user interactions, calendar events) to those third parties. We are not responsible for any additional data processing by third parties, and integration may require separate accounts and consents.
    • Liability for Third Parties: We are not liable for the actions, content, or data practices of any third-party service, even if integrated via SmartLanding. Your use of any third-party website or service (including external links or embedded content) is at your own risk, and subject to that third party's terms and policies.

    Intellectual Property

    All intellectual property rights in the SmartLanding platform, platform code, templates, designs, and documentation ("Company IP") are owned by E50Ads LLC or its licensors. You are granted a limited, non-exclusive license to use the delivered landing page and related outputs for your business use only. You may not copy, modify, redistribute, or sublicense the Company IP except as needed to use the service. Any graphics, text, logos, or data you provide remain your property, but by submitting them to us, you grant us permission to use them solely to create your landing page and promote our services (e.g. we may show your page as a portfolio example, unless you opt out). If we incorporate any third-party materials (e.g. stock images, fonts), we will license them on your behalf and ensure you have rights to use them.

    Disclaimers and Warranty

    NO WARRANTIES: SmartLanding is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement. We do not guarantee that your landing page will achieve any specific results, rankings, traffic, or sales. We do not promise uninterrupted or error-free service; hosting uptime may vary. You agree that you bear all risks related to your use of the landing page (and any linked services). No professional advice: The SmartLanding service is not a substitute for legal, financial, medical, or other professional advice.

    Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, E50Ads LLC'S LIABILITY IS LIMITED AS FOLLOWS: (a) Our total liability (for all claims, whether in contract, tort, or otherwise) for any single incident will not exceed the fees paid by you for the SmartLanding service in the six-month period immediately preceding the incident. (b) We SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including lost profits or business interruption, even if we knew they were possible. This limitation applies whether such damages arise from breach of contract, tort (including negligence), strict liability or any other theory. Some jurisdictions do not allow limitation of certain damages, so this limit may not apply to you to the extent prohibited by law.

    Indemnification

    You agree to indemnify and hold harmless E50Ads LLC, its officers, employees, and agents from any claims, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of SmartLanding, your violation of these Terms, or your violation of any third party's rights. This includes, for example, claims that your content infringes a third party's intellectual property or that you have misrepresented your business.

    Termination

    We may suspend or terminate your access to SmartLanding immediately if you breach these Terms, become insolvent, or if we believe continued service is harmful. Upon termination by either party, all unpaid fees for work performed remain due and owed. We reserve the right to delete your landing page and data after termination; please download your content before termination.

    Governing Law and Dispute Resolution

    These Terms and any disputes arising under them are governed by the laws of Delaware, USA, without regard to conflict-of-law principles. Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. For disputes not resolved informally, the parties agree to first attempt mediation or settlement in good faith. If unresolved, each party may pursue its legal remedies.

    Miscellaneous

    • Modifications: We may modify these Terms at any time by posting a revised version on our website. It is your responsibility to review the Terms periodically. Continued use of SmartLanding after changes means you accept the new Terms.
    • Entire Agreement: These Terms (along with our Privacy Policy) constitute the entire agreement between you and E50Ads LLC regarding SmartLanding and supersede all prior agreements. No other terms (e.g. in a purchase order) apply unless expressly agreed in writing.
    • Severability: If any provision of these Terms is held invalid or unenforceable, the remainder will continue in full force.
    • Waiver: Our failure to enforce any right or provision of these Terms does not waive that right.

    1. Information We Collect

    SmartLanding collects limited personal information, as follows:

    • Voluntarily Provided Data: When you contact us or sign up for services, you may provide your name, email address, phone number, and business address or location. This information helps us personalize communication, set up your landing page (e.g. localizing address), and provide customer support.
    • Usage Data: We automatically collect technical information about your device and browsing (IP address, browser type, pages visited) for site analytics and security. We use Google Tag Manager and analytics to compile usage statistics; Google Tag Manager itself does not create user profiles or store cookies. We do not collect any sensitive personal data beyond what you provide.
    • Cookies and Tracking: We only use essential cookies. Specifically, we use Google Tag Manager (for implementing tags) and Meta (Facebook) Pixel for basic analytics and ad conversion tracking. We do not use non-essential tracking cookies (e.g. for behavioral advertising) without your consent. You may disable cookies in your browser, though this may break some site functions (e.g. analytics, chat).

    SmartLanding does not collect or store any payment details (such as credit card or bank account numbers). All payment processing is handled by Stripe, Square, or PayPal, which have their own privacy policies. Your payment data is sent directly to and held only by those payment processors.

    2. How We Use Your Information

    We use your personal information only as needed to provide and improve our services:

    • Service Delivery: To set up and host your landing page, send invoices, and communicate updates.
    • Personalization: To tailor the content of your landing page (e.g. localizing information) and customer support.
    • Marketing: With your consent, we may send you newsletters or promotions via email. You can opt out at any time.
    • Legal Compliance: To comply with legal obligations (e.g. tax laws) and protect our rights (e.g. fraud detection).

    We will never sell or rent your personal information to third parties. We may share information with trusted service providers (e.g. email sending service) who need it to perform functions on our behalf, subject to confidentiality agreements. We only provide them the minimum data necessary.

    3. Third-Party Analytics and Integrations

    We incorporate the following third-party services, each with its own privacy terms:

    • Google Analytics / Google Tag Manager: We use Google's tools to analyze site traffic. These tools use first-party cookies (Google Analytics) and operate under Google's privacy policies. Google Analytics data is aggregated and anonymized. (Note: Google Tag Manager itself does not set cookies or profile users.)
    • Meta Pixel: Our website contains the Meta (Facebook) Pixel for basic ad conversion tracking. This may set cookies and link activity on our site to your Facebook account if you have one. Meta's use of cookies is governed by Facebook's Cookie Policy.
    • OpenAI (AI Features): If you engage any AI-driven features (Chatbot, AI agent), OpenAI may process any input you provide to generate responses. We do not share personal data with OpenAI except as necessary to operate the service, and OpenAI's use of that data is subject to its policies.
    • Optional Integrations: If you authorize us to connect with services like TikTok Pixel, Facebook API, Google Calendar, etc., those services may receive data (e.g. event registrations, ad data) as per their integration. For example, calendar integration means we may send event details from your page to your Google Calendar. You control which integrations are enabled. Each third party handles your data under its own terms. We are not responsible for their data practices.

    You are encouraged to review the privacy policies of these third parties (Google, Facebook, Stripe, PayPal, OpenAI, etc.) to understand their data practices. SmartLanding is not liable for the privacy or security of any information once it is transferred to a third-party service.

    4. Your Choices and Rights

    We strive to comply with global privacy laws (GDPR, CCPA, etc.) as applicable. Depending on your location, you may have the following rights regarding your data:

    • Access and Portability: You can request a copy of personal data we hold about you.
    • Correction or Deletion: You can request correction of inaccurate data, or deletion of your data when it is no longer needed.
    • Objection or Restriction: Where we process data under consent or legitimate interest, you may object or ask to restrict processing.
    • Consent Withdrawal: If we rely on your consent (e.g. marketing emails), you may withdraw it at any time (e.g. via unsubscribe links).

    For example, under EU law you have rights to access, correct, or erase your personal data. Under California law (CCPA/CPRA), you have rights to know, delete, and opt-out of sale of data (though we do not sell data).     We retain personal data only as long as necessary to fulfill service obligations, comply with legal requirements, or resolve disputes. For example, billing records may be kept for tax purposes. Unused or obsolete data will be deleted or anonymized.

    6. International Data Transfers

    E50Ads LLC is based in the United States. If you are outside the U.S., your information may be transferred to and processed in the U.S. or other countries where our service providers operate. Those countries' privacy laws may be different. By using SmartLanding, you consent to such transfers under standard contractual clauses or other legal safeguards.

    7. Children's Privacy

    We do not knowingly collect personal data from children under 16 (13 in the U.S.) for marketing or profiling. Our services are intended for businesses, and anyone using SmartLanding represents they are at least 18 or have parental consent. If we learn we've collected data on a child without proper consent, we will delete it.

    8. Updates to This Policy

    We may update this Privacy Policy from time to time (for example, if we add new features or comply with new laws). When we do, we will post the new policy on our website with a new "Effective Date." Your continued use of SmartLanding after changes means you accept the revised policy.
